Rejected, restructured, approved: the Nebraska playbook

On July 30, at Big Ten media days, Nebraska’s athletic director confirmed that the College Sports Commission had approved $7.5 million in restructured NIL deals for 18 football players — the same deals the CSC rejected earlier this year, in a denial an arbitrator upheld two months ago. For compliance offices, this is the most instructive thing that’s happened all summer, and it isn’t the dollar figure.

The original rejection turned on two things. The deals lacked a “valid business purpose” because they didn’t put goods or services in front of the general public for profit — they were payments, not marketing. And Playfly, the multimedia-rights partner behind them, was found to have “warehoused” NIL rights: paying to bank the rights for later use instead of putting them to work now. Nebraska didn’t appeal into a wall. It took the reasons, rebuilt the deals around real deliverables, resubmitted, and cleared. Players get paid once they actually perform the obligations.

Why it matters: for a year the industry treated a CSC rejection as money gone. Nebraska just proved the process is iterative. A denial is feedback, not a verdict — and the offices that master the reject-restructure-resubmit loop will move money the ones who fear rejection can’t.

Context: the 2026–27 revenue-share cap is $21.3M per school, and marketing-partner NIL deals are what let programs push spending beyond it — which is exactly why the CSC scrutinizes them.

Treat a rejection as a redline, not a wall. When a deal comes back denied, capture the exact reason — valid business purpose, warehousing, or range of compensation — and rebuild to it. Nebraska turned $7.5M in dead deals into approved ones by doing exactly this.

Pressure-test “valid business purpose” before you submit. A deal needs real goods or services offered to the public for profit, and the rights have to be used now, not banked. If your MMR or collective deal is a payment with no genuine deliverable, document the deliverable or expect a denial.

Track each athlete’s associated-deal running total. Deals from $600–$15,000 now skip range-of-compensation review until an athlete crosses $50,000 in associated deals for the year. Know where each athlete sits so you see the review trigger coming.

As of July, deals valued between $600 and $15,000 no longer trigger range-of-compensation review until an athlete reaches $50,000 in associated deals for the academic year. It eases the load on smaller deals — but the $600 disclosure floor and the five-business-day clock still apply to everything.

“Warehousing” is now a live enforcement line

The Playfly citation in the Nebraska case put a name on a specific violation: paying for NIL rights to bank for later rather than using them now. MMR partners and collectives structuring deals as rights acquisitions should assume the CSC is watching for it.

Incoming prospects must report NIL deals of $600+ within two weeks of enrollment — a different clock than the five business days current Division I athletes face. Programs recruiting high-school and JUCO talent inherit those prior deals at enrollment, so map them early.

The prospect handoff is where state and federal rules collide

High-school NIL is still governed by a patchwork of state high-school-association rules before a recruit ever enrolls — but the moment they do, the codified CSC disclosure duty attaches to every prior deal over $600. Compliance offices should pull an incoming class’s NIL history at signing, not at enrollment, so a deal struck under permissive state rules doesn’t become a federal disclosure problem on day one.

A denial is a draft, not a verdict

For a year, the whole compliance posture around the CSC was defensive: submit, hold your breath, hope it clears. Nebraska just changed the question. Eighteen deals were dead — rejected, arbitrated, upheld — and they came back to life for $7.5 million because someone read the reasons closely, rebuilt around a real business purpose, and resubmitted.

That reframes the job. The offices that win the coming year won’t be the ones that never get a deal rejected. They’ll be the ones that turn a rejection around in days because they understood exactly why it bounced — valid business purpose, real deliverables, rights used and not warehoused. Build to that standard up front, and a denial stops being a loss. It becomes a revision.
